RESPONSIBILITIES:

  1. Merger and Acquisition Tax Analysis and Proactive Tax Planning
    1. Support tax planning activity and strategic alternatives within Tax for all business organizations by understanding the businesses and engaging in proactive tax planning strategies to reduce taxes and streamline tax operations.  Review joint venture agreements, purchase agreements and other documents to provide timely input to tax management and other stakeholders regarding tax risks and opportunities.
    2. Assist in the evaluation of acquisitions, dispositions, mergers, reorganizations and joint ventures. Assist with the structuring of transactions and of legal entity changes needed for tax minimization.  Review Target tax returns and financial statements to produce and report on Tax Due Diligence efforts for targeted entities and assets to ensure tax risks are identified and work with Tax management and Law to mitigate.
  2. Tax Operations Support
    1. Support the Tax Compliance groups with advisory services for income taxes, motor fuel & excise taxes, property taxes, customs & trade, and sales & use taxes, and any other tax type.  Provide supportable tax position determination to reduce future audit risk and prepare legal memos to support tax positions to be taken on tax returns.
    2. Working with the Tax Compliance groups, assist in the development and execution of tax planning strategies to reduce cash taxes, including tax incentives (e.g., IRC 1400Z Opportunity Zones, Jobs Credits, R&D Credits).
    3. Develop and maintain high quality relationships with the Company’s various business groups to ensure that the Tax Organization keeps abreast of all developing business activity.
  3. Technical Tax
    1. Maintain current technical knowledge of pertinent domestic and international tax laws and regulations to acquire and maintain a thorough understanding of the U.S. (federal and state) and foreign tax requirements applicable to the Company's operations; keep abreast of all significant changes and developments concerning such laws and regulations.
    2. Assist Tax Compliance managers with the legal analysis of proposed and enacted tax legislation and its effect on the Company’s tax positions.  Prepare legal memos and/or internal correspondence to both determine and support the Company’s tax positions.
  4. Tax Controversy Management
    1. Assist in tax controversy matters - Working with the Tax Director - Planning and Audit and with the various Tax Compliance Directors and Managers - assist with audits and any appellate processes for U.S. federal and state income tax, state franchise tax, and all indirect taxes.  Represent the Company before the Internal Revenue Service (IRS), the States’ Departments of Revenue, and other governmental agencies, boards and commissions on any type of tax appeal or controversy.  Work directly with outside counsel to assist with tax appellate efforts or controversy resolution, including litigation support.
    2. Defend the Company’s tax positions and assist and coordinate with internal stakeholders and outside tax services providers to conclude the tax controversy matters favorably and timely
    3. Research tax law and administrative pronouncements, as needed, to support and defend the company’s tax positions. Write and/or review technical tax position papers.  Work with outside tax counsel on technical issues requiring specialized assistance.

 

EDUCATION & EXPEREINCE: 

Education Level: A Juris Doctorate (J.D.) is required and passed federal and one state bar
Relevant Experience Level: a minimum of 4-10 years in any combination of Law firm, Big 4 or corporate Tax
